A lawful operating model
Legal and Compliance for Chinese Businesses in Russia
We build the legal and banking structure so that actual operations, contracts, funds and supplies substantiate one clear business model.
- 115-FZ and bank enquiries
- Currency control and foreign trade contracts
- Corporate authority and compliance
Objective
Compliance works before a bank enquiry, not after an account is blocked
Banks, tax authorities, customs and counterparties assess the consistency of the entire transaction, not just one document. The contract, payment, supply, accounting and business purpose must not contradict one another.
JINDAO is not a payment system and does not offer circumvention schemes. We design a lawful transaction route and supporting documentation.
What can go wrong
Where legal and banking risks arise
Most problems start with a mismatch between the business described in the documents and how it actually operates.
An unclear transaction
The payment cannot be explained by the contract, supply, tax model or company profile.
Inconsistent documents
The bank, accountant, logistics specialist and director have different versions of the terms and deadlines.
Excessive authority
A single director controls contracts, banking, signing authority and assets without independent approval.
JINDAO responsibility
A legal structure for actual operations
Documents are designed for the operating model rather than copied from a standard template.
Corporate structure
Shareholders, articles of association, the director, resolutions, major transactions and the owner's rights.
Contract system
Supply, services, agency, distribution, personnel and liability.
Federal Law No. 115-FZ
Company profile, counterparties, payment purposes and evidence of business purpose.
Currency control
Foreign trade contracts, invoices, deadlines, supply documents and approval of changes.
Counterparty due diligence
Authority, litigation and tax risks, business reputation and evidence of actual operations.
Inspections and disputes
A consistent position, documents, responses to enquiries and protection of the owner's interests.
How the work is organised
Compliance as an ongoing process
Every stage ends with a decision, an accountable owner and a control point.
Transaction mapping
We document contractual relationships, money and goods flows, participants and risk points.
Document structure
We align contracts, corporate resolutions, banking arrangements and accounting treatment.
Oversight of execution
We review material transactions before they take place and maintain readiness for enquiries.
Result for the owner
Every material transaction is clear to the owner and can be explained to oversight bodies
Not a list of completed tasks, but a business state the owner can verify.

Engagement model
What to prepare for the bank in advance
Account restrictions can halt supplies and payments. Supporting evidence is therefore collected during normal operations, not after an enquiry.
The website, staff, office, taxes and transactions must match the stated business model.
The contract, invoice, goods and payment explain one consistent economic transaction.
Authority, evidence of actual operations and the basis for each transfer.
JINDAO does not sell this module as a one-off service. Scope, timing and fees are defined after the initial assessment.
Frequently asked questions
Before we start
Can you guarantee that an account will not be blocked?
No. The bank makes that decision. Risk can be reduced through a transparent model, counterparty checks and a complete document package.
What is checked under 115-FZ?
Not just an individual payment. The bank assesses the customer, beneficial owners, counterparties, tax burden, and the nature and economic purpose of transactions.
Who responds to a bank enquiry?
The lawyer, accountant and operations team prepare the response together so that the documents and explanations do not contradict one another.
Initial project assessment
We will assess the model's legal and banking resilience
We will review contracts, funds, supplies and authority before material operations begin.
We will ask 7–10 essential questions and explain whether we see a workable model.
